By posting on the Site, you grant, or warrant that the owner has expressly granted, to CUSTOM ROD & REEL LLC a royalty-free, perpetual, irrevocable, nonexclusive, unrestricted, worldwide license to any and all of the user content you post. The granted rights include the right to configure, host, index, cache, digitize, compress, optimize, modify, edit, adapt, and remove such content and combine same with other materials. Furthermore, we are free to use any ideas, concepts, know-how or other techniques contained in any content you submit without any remuneration or obligation to you. You acknowledge that you are the sole owner of any copyrights and that your content does not infringe the rights of any third parties. CUSTOM ROD & REEL LLC may monitor any user’s content posted to the Site. We reserve the right, at our discretion, to remove, terminate, or prohibit users from accessing the Site for any reason or no reason with or without notice.

You agree to indemnify and hold harmless CUSTOM ROD & REEL LLC, its directors, shareholders, employees, representatives, agents, affiliates, subsidiaries, assignors, and licensors from and against any lawsuits, disputes, claims, proceedings, demands, liabilities, losses, obligations, costs, or expenses arising out of, related to, stemming from, or that may arise in connection with any use of the Site or your breach of these Terms and any other policies incorporated into this agreement. You agree to cooperate fully with us in the defense of any claim that is the subject of your obligations hereunder.

Choice of Law and Venue

These Terms and any disputes arising from the use of the Site are governed by and construed according to the laws of the state of Florida, without giving effect to its conflict of law principles. The parties agree that the appropriate venue for any litigation regarding the Terms or use of the Site shall be in the Circuit Court of the Seventeenth Judicial Circuit in and for Broward County, Florida. 

Dispute Resolution

Each party agrees to submit to the courts of the state of Florida, and that the state of Florida has personal jurisdiction over the matter.

Severability

If any portion of these Terms is deemed unenforceable, void, or invalid for any reason, the remaining provisions of these Terms will remain unaffected and will not be considered unenforceable, void, or invalid. They will maintain the full force of law to the extent possible.

Changes to These Terms

We reserve the right in our sole discretion and at any time and for any reason to modify or discontinue any aspect or feature of the Site or modify or update these Terms. If any updates are made to these Terms, they will be posted here. Additionally, if material changes are made, we will notify you via a notice posted on the Site, and registered users will receive an additional email. You should review these Terms each time you use the Site, so that you understand your rights, remedies, and obligations. Your use of the Site after such changes have been posted shall constitute your acceptance of the revised Terms.
